1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the websites, apps, APIs, support services, and related offerings provided by Coxygen Global (Pty) Ltd (“Coxygen”, “we”, “us”, “our”) (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
- “Digital Asset” means cryptocurrencies, tokens, NFTs, or other blockchain-based assets.
- “Wallet” means a blockchain wallet or wallet integration used to sign transactions.
- “DEX” means decentralized exchange functionality such as swaps or liquidity pools.
- “Transaction” means a blockchain transaction broadcast to a network (e.g., Cardano).
3. The Service
The Service may include IT/software services, developer education/support, community tools, and (where enabled) blockchain/crypto functionality such as wallet connectivity, token swaps, portfolio views, analytics, and on-chain credentialing.
We may add, modify, suspend, or discontinue any part of the Service at any time.
4. Eligibility
You must comply with all applicable laws. If the Service includes crypto/financial features, you represent that: (a) you are at least 18 years old (or the age of majority where you live), and (b) you are not prohibited from using such features under applicable sanctions or local law.
5. Accounts & Security
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Never share private keys or seed phrases. We will never ask you for them.
- If you suspect unauthorized access, notify us immediately.
6. Crypto/DEX Features
6.1 Non-custodial design (typical)
Unless expressly stated otherwise in the product, crypto transactions are executed using your connected Wallet. You control signing and submission. We do not take custody of your private keys.
6.2 Swaps, pricing, and execution
- Swap quotes may change due to market conditions, slippage, liquidity, and network conditions.
- Blockchain Transactions are generally irreversible once confirmed.
- Smart contracts may contain vulnerabilities or behave unexpectedly. Use at your own risk.
6.3 No investment advice
Nothing on the Service constitutes financial, investment, tax, or legal advice. You are solely responsible for your decisions and for assessing risks.
7. Fees & Payments
You may be charged fees, including some combination of:
- Network fees paid to the blockchain network (not to Coxygen).
- Service fees (e.g., subscription fees, support fees, or protocol fees where enabled).
- Third-party fees charged by providers (e.g., onramp/offramp providers, payment processors).
Fees (and how they are calculated) will be displayed in the Service or documentation where applicable. All fees are non-refundable unless required by law or explicitly stated otherwise.
8. Compliance (KYC/AML/Sanctions)
Where required by law or risk controls, we may require identity verification (KYC), transaction monitoring, and screening for sanctions/fraud. You agree to provide accurate information and keep it current.
We may suspend, refuse, or limit access to certain features if we suspect prohibited, fraudulent, or illegal activity.
9. Risk Disclosures
- Volatility: Digital Assets can fluctuate significantly and you may lose funds.
- Finality: Mistyped addresses, wrong assets, or malicious contracts can cause irreversible loss.
- Technology risks: blockchain congestion, outages, chain forks, bugs, and smart-contract exploits.
- Regulatory risks: laws may change and affect availability/legality of features.
10. Acceptable Use
You agree not to misuse the Service. Prohibited activities include:
- Illegal activity, money laundering, terrorist financing, sanctions violations, or fraud.
- Attempting to hack, disrupt, overload, or bypass security controls.
- Uploading malware, scraping in a harmful manner, or abusing rate limits.
- Infringing intellectual property or violating privacy rights of others.
11. Intellectual Property
The Service (excluding user content and open-source components) is owned by Coxygen or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by law or license terms.
12. Third-Party Services
The Service may integrate third-party tools (wallets, block explorers, analytics, onramps/offramps, cloud providers). Third-party services are governed by their own terms and policies, and Coxygen is not responsible for them.
13. Privacy
Our Privacy Policy explains how we collect and use information. By using the Service, you consent to the practices described there.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COXYGEN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO COXYGEN FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF NONE, ZAR 100).
16. Indemnity
You agree to defend, indemnify, and hold harmless Coxygen and its directors, employees, and partners from and against claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.
17. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or to protect the Service and users. You may stop using the Service at any time.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of South Africa. Exclusive jurisdiction for disputes relating to the Service resides in the courts of Gauteng, Johannesburg, South Africa.
19. Changes to Terms
We may update these Terms from time to time. Changes are effective when posted with an updated date. Continued use of the Service after changes means you accept the updated Terms.
